Terms of Use for Soma: Wellness & Meditation

Definitions

• "Service": The Soma: Wellness & Meditation app, website, coaching platform, and any content, tools, or features provided therein.
• "User"/"you": Any person who accesses, registers, or uses the Service.
• "Subscription": A paid plan offering access to premium content or features, which may auto-renew.
• "Content": Includes videos, audios, affirmations, meditations, group or 1:1 sessions, documents, and other materials.
• "Agreement": These Terms of Use, our Privacy Policy, and any additional terms that apply to certain features.

1. Who We Are

2. Eligibility and Age Restrictions

You must be 18+ and legally able to enter a binding contract. The Service is not intended for minors or prohibited users under UK law.

3. Registration & Accounts

To use parts of the Service, you must register and:

• Provide accurate data
• Keep your login details safe
• Inform us immediately if compromised

4. Acceptable Use

You must not:

• Break the law
• Share defamatory, abusive, obscene, or discriminatory content
• Interfere with platform security or function
• Attempt unauthorised access

5. User Content

You may post content. You retain ownership and grant us a global, royalty-free licence to use your content in the platform. You agree not to post infringing, violent, threatening, or illegal content, and that we may remove or moderate content at our discretion.

6. Intellectual Property

All rights in the Service are owned by Soma or its licensors. You must not reproduce, alter, or redistribute content without permission, or use Soma's brand, images, or layout without consent. Some content may be available for personal use. Any commercial use requires express written consent.

7. Purchase Flow & Usage Rights

7.1 Order Submission. Selecting a Subscription, confirming the purchase, and completing payment creates a binding contract.

7.2 Usage Rights. Access is granted once payment is confirmed. Soma reserves the right to restrict access until payment clears.

8. Subscriptions & Auto-Renewal

You may purchase recurring monthly or annual subscriptions via Stripe, Braintree, Apple or Google. Subscriptions auto-renew unless cancelled at least 24 hours before renewal. Prices and terms will be confirmed prior to checkout. You can manage or cancel through your app store or by contacting us.

9. Trials, Offers & Discounts

Trials, intro offers, and promotions are discretionary. Eligibility criteria and rules will be clearly stated. Once a trial ends, billing begins unless cancelled.

10. Refunds & Cancellation

10.1 Statutory Cancellation (UK/EU). You have the right to cancel within 14 days of subscription, unless digital content was accessed, which waives this right.

10.2 Platform-specific Refunds. Apple & Google users must use their store's refund channels.

10.3 Discretionary Refunds. We may grant refunds case-by-case. Email: sam@soma-meditation.com.

11. Account Termination & Deletion

You can delete your account via the app (Settings > Delete Account) or by emailing us at sam@soma-meditation.com. We may terminate or suspend access at our discretion.

12. Coaching & Wellness Disclaimer

Soma content is for informational and spiritual support only. It is not medical advice. Do not rely on it for diagnosis or treatment. Consult your GP or qualified professional as needed.

13. Third Parties & Data Sharing

We work with System Scaling for CRM and coaching admin, and Stripe, Braintree, Apple and Google for payments. We are not liable for their platforms or policies. Please refer to their terms.

14. Platform Terms (Apple & Google)

By subscribing through Apple or Google, you accept their terms of sale. Soma cannot override refund or renewal rules.

15. Disclaimers & Limitation of Liability

We do not guarantee that content is error-free, that services are uninterrupted, or that outcomes from meditation will occur.

We are not liable for loss of income, data, business, or reputation, or for indirect or consequential damages. Our maximum liability is capped at the subscription amount paid in the last 12 months.

16. Indemnification

You agree to indemnify us from any legal action, damage, or loss caused by your breach of these terms or your use of the Service in a way that causes harm or liability.

17. Service Interruption & Force Majeure

Access may be suspended for updates or beyond our control (e.g. natural disasters, power outages). We are not liable for failure due to circumstances outside our control.

18. Changes to Terms

These Terms may be updated. We will notify you via app or email. Continued use after changes means acceptance.

19. Assignment

We may transfer this Agreement to another entity in the event of a merger or sale. You may not assign your rights without written permission.

20. Severability

If any part of these Terms is found invalid, the rest remain enforceable.

21. Governing Law & Jurisdiction

These Terms are governed by English law. You may bring legal proceedings in England and Wales, Scotland (if resident), or Northern Ireland (if resident).

22. Online Dispute Resolution

You may use the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

23. Model Withdrawal Form

If you wish to withdraw from your contract, fill out and send this form to Soma Meditation Ltd, by email at sam@soma-meditation.com:

"I hereby give notice that I withdraw from my contract for the provision of the following service: [Insert name of service or subscription]. Ordered on: [Insert date]. Name: [Your name]. Address: [Your address]. Date: [Today's date]."
